1. WHO WE ARE AND ACCEPTING THESE TERMS
ServiceCanopy is a product of The Web Corner, Inc. ("TWC," "we," "us," or "our"). These Terms govern ServiceCanopy.com, our demonstrations and evaluation accounts, and the ServiceCanopy business software we make available to you (collectively, the "Services").
By selecting an acceptance checkbox, accepting an order that incorporates these Terms, or using the Services after being presented with these Terms and an opportunity to review them, you agree to these Terms. If you use the Services for a business, you represent that you are authorized to bind that business, and "Customer" means that business. Account holders must be at least 18 years old. Do not create an account or use restricted Services if you do not agree.
Our Privacy Policy explains our handling of personal information. Accepting these Terms does not, by itself, authorize optional marketing, recording, location tracking, or other processing that requires separate permission.
2. AVAILABLE FEATURES AND EARLY ACCESS
Your access includes the features we actually make available under your account or accepted order. Product descriptions, demonstrations, and roadmaps may describe planned capabilities. They are not promises that every feature is available now or will be delivered by a particular date. Only an expressly agreed written commitment establishes a delivery obligation.
Features identified as beta, preview, or evaluation may change, contain errors, or be discontinued. Maintain appropriate copies of important records and review results before relying on them. Do not upload real customer or employee information to a public demonstration account.
3. PERMITTED USE AND ACCOUNT SECURITY
We grant you a limited, nonexclusive right to use the Services for lawful business purposes during your authorized access period. Keep account information accurate, protect credentials, and promptly report suspected unauthorized access through our contact methods below. Customer controls its authorized users, permissions, and access to branch or business records.
You must not use the Services to violate law or another person's rights, distribute malware, send unauthorized messages, conduct unauthorized surveillance, access another customer's information, interfere with security or availability, or circumvent access restrictions. You must not resell access or copy our software except as expressly permitted in writing or by rights that applicable law does not allow us to restrict.
4. WEBSITE CONTENT AND BUSINESS RESPONSIBILITIES
Our software, branding, website content, and documentation belong to TWC or its licensors. You may use downloadable resources as permitted by their stated license or instructions. Feedback may be used to improve our Services without compensation; this does not give us rights to your confidential information or customer records.
Articles, templates, calculations, and demonstrations provide general information. They do not replace qualified legal, accounting, tax, safety, or trade advice. Customer remains responsible for its services, licenses, personnel, employment decisions, accounting policies, taxes, and agreements with its own customers. The Services are not an emergency response service.
5. ORDERS, CHARGES, AND CANCELLATION
No payment is due merely because you visit the website, request a demonstration, or join a waitlist. A free evaluation does not become a paid subscription unless you separately agree to the price and billing terms presented before conversion.
For paid Services, the accepted order or checkout summary identifies the price, billing frequency, commitment, included features, usage charges, applicable taxes, and any renewal terms. Only an authorized purchaser may agree to paid Services or additional charges. We will not charge an undisclosed fee or begin recurring billing without your authorization.
Unless an accepted order expressly provides otherwise, paid subscriptions run month to month. An automatically renewing subscription renews only on the terms disclosed and accepted at purchase. You may cancel renewal before the next charge through any available account cancellation control or by contacting us using the methods in Section 15. Identify your business and account so we can process the request. We will confirm cancellation; access normally continues through the paid period.
Unused portions of a paid period are not refundable for cancellation for convenience unless the accepted order or applicable law provides otherwise. We will correct billing errors and provide refunds required by law. If we discontinue paid Services during a prepaid term without an agreed substitute, we will refund the unused prepaid portion. Any annual commitment or different cancellation arrangement must be expressly accepted in the order.
We will give at least 30 days' advance notice of increases in recurring subscription prices. Increases for a fixed-price commitment apply at renewal. Separately disclosed variable usage or third-party charges follow the accepted order. You may cancel renewal before an increased recurring price applies.
6. CUSTOMER DATA AND OWNERSHIP
Customer retains its rights in information and materials submitted to, or created for Customer in, the Services ("Customer Data"). Customer grants TWC only the rights needed to host, organize, process, transmit, display, secure, support, and return Customer Data to provide the agreed Services and comply with law.
Customer must have authority to provide Customer Data and must give notices and obtain permissions required for its use of the Services. Do not place payment-card security codes, unnecessary government identification, medical information, or other unrelated sensitive information in free-text notes, uploads, or support messages.
We will not sell Customer Data, use tenant personal information for targeted advertising, or use Customer Data to train general-purpose or cross-customer AI models. Any customer-specific model training requires a separate description and authorization. We will protect nonpublic Customer Data and other confidential information and disclose it only as needed for authorized Services, as directed by Customer, or as law permits or requires.
7. PROCESSING PERSONAL INFORMATION FOR CUSTOMERS
When we process personal information within Customer Data, Customer determines the purposes and lawful instructions, and TWC acts as Customer's processor or service provider as applicable. Processing covers the purchased Services during the agreement and any permitted return or retention period. Depending on the features used, it involves collecting, storing, organizing, retrieving, calculating, communicating, correcting, exporting, and deleting business contact, job, invoice, communication, and workforce records about Customer's contacts, customers, personnel, and vendors.
We will process that information only on Customer's documented lawful instructions, including the accepted order, configured features, authorized support requests, and these Terms, unless law requires otherwise. We will not sell or share it for cross-context behavioral advertising, retain or use it for unrelated purposes or outside our direct business relationship, or combine it with other personal information except as applicable law and authorized instructions permit. TWC understands and will comply with applicable processor and service-provider restrictions. We will notify Customer if we can no longer meet those restrictions or believe an instruction violates applicable data protection law.
We will limit access to authorized personnel subject to confidentiality obligations and maintain reasonable administrative, technical, and organizational safeguards appropriate to the information and Services. Customer authorizes service providers necessary to deliver its selected Services. We will bind providers processing Customer personal information to appropriate written confidentiality, security, and processing duties and remain responsible for their performance of those delegated obligations. We will identify relevant providers on request and provide reasonable advance notice of material additions or replacements, except where an urgent change is needed to protect the Services. Customer may raise a reasonable data-protection objection, which we will work to resolve.
Taking account of the Services and information available to us, we will reasonably assist Customer with individual privacy requests, required security and privacy assessments, and compliance inquiries. We will provide relevant compliance information and allow reasonable, confidential assessments or audits as required by applicable law, subject to safeguards for other customers' information and service security. Customer may take reasonable steps to verify compliance and, on notice, stop and remediate unauthorized processing. We will notify Customer without undue delay after becoming aware of a personal-data breach affecting its records and provide available information reasonably needed for its response, with additional details as they become available.
At Customer's lawful direction or the end of Services, we will return or delete Customer personal information subject to Section 10 and retention required by law. Information retained for a legal obligation remains protected and restricted to that purpose. A separately accepted Data Processing Addendum controls any conflict about processing Customer personal information. These Terms do not authorize a new regulated-data use or international processing arrangement that requires additional contractual safeguards.
8. COMMUNICATIONS AND OPTIONAL FEATURES
Customer is responsible for its message recipients and content, required consent, sender identification, and honoring opt-outs. A customer list or acceptance of these Terms is not blanket permission for marketing. We may limit communications that present unlawful-use, abuse, security, or provider-compliance concerns.
Payment processing, financing, marketing messaging, call recording, precise-location tracking, AI integrations, and other optional features may require separate activation, provider terms, disclosures, or permissions. These Terms do not supply those missing permissions. Customer must review outputs and authorize consequential actions through the controls provided for the feature.
9. THIRD-PARTY SERVICES AND CONTRACTOR TRANSACTIONS
Third-party integrations and linked websites are governed by their own terms and privacy practices. Connecting an integration authorizes access only within the permissions you grant. Disabling it stops future access through our integration but may not delete information already held by that provider.
Where an enabled payment feature uses Stripe or another provider, the applicable provider agreements and payment authorization also apply. We will disclose our relevant platform charges and role before activation. ServiceCanopy does not itself provide financing or guarantee credit approval.
The contractor or service business identified on a job, estimate, invoice, or maintenance plan is responsible for the work and its customer agreement, warranties, cancellations, and refunds. TWC provides the software and remains responsible for its own contractual obligations. Contact the identified contractor about the underlying service transaction.
10. SUSPENSION, TERMINATION, AND DATA ACCESS
We may suspend access when reasonably necessary to address unlawful use, a serious security threat, fraud, or a material breach. Where practicable, we will explain the issue and allow a reasonable opportunity to resolve it. For ordinary nonpayment, we will give notice and at least 10 days to resolve the overdue amount before suspension. We will limit suspension to what is reasonably necessary.
Either party may terminate an agreement for a material breach that remains uncured 30 days after written notice, unless the breach cannot reasonably or lawfully be cured. If Customer terminates paid Services for our uncured material breach, we will refund unused prepaid fees for the affected Services.
For 60 days after termination, an authorized Customer representative may request a standard export of available Customer Data at no additional charge, subject to lawful access restrictions. Custom conversion or migration work requires a separate agreement. Customer may request earlier deletion. After that export period, we may delete Customer Data, except for permitted legal, security, or recordkeeping retention. Backup copies are protected, restricted from ordinary use, and removed through the applicable backup cycle. We will not retain personal information longer than reasonably necessary for an authorized purpose or legal requirement.
11. SERVICE WARRANTIES AND LIMITATIONS
For paid Services, we will use reasonable efforts to correct a reported material failure to perform the purchased functions described in the accepted order. If we cannot correct it within a reasonable time, Customer may terminate the affected Services and receive a refund of the unused prepaid portion.
Except for express commitments in an accepted agreement and rights that cannot lawfully be excluded, the Services and general website materials are provided "as is" and "as available." We disclaim implied warranties to the extent permitted by law. We do not guarantee uninterrupted access, error-free results, a particular business outcome, or the accuracy of third-party information. Free demonstrations and clearly identified beta features do not carry a service-level commitment.
12. LIMITS OF LIABILITY
To the extent permitted by law, neither party is liable under these Terms for indirect, special, incidental, punitive, or consequential damages, including lost profits or business opportunities. Each party's total liability arising from the Services is limited to the greater of $500 or the fees Customer paid or owes TWC for the affected Services during the 12 months before the event giving rise to the claim.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, amounts properly owed for purchased Services, or liability that applicable law does not permit the parties to exclude or limit. They do not waive an individual's statutory privacy rights or limit a regulator's authority. A separately signed agreement may establish different limits. Reasonable direct costs of restoring Customer Data are not excluded solely because they concern data, but remain subject to applicable limits.
13. GOVERNING LAW AND AGREEMENT PRIORITY
California law governs these Terms, excluding conflict-of-law rules, except where another jurisdiction's mandatory law applies. For disputes between TWC and a business Customer, the state and federal courts located in Los Angeles County, California have exclusive jurisdiction, except where applicable law requires otherwise. These Terms do not require binding arbitration or waive any nonwaivable rights.
An accepted order controls its expressly stated commercial terms; a separately signed agreement controls any conflict it specifically addresses. A Data Processing Addendum controls personal-data processing conflicts. If a provision is unenforceable, the remaining provisions continue to apply. Provisions that by their nature should survive termination, including accrued payment obligations, confidentiality, privacy duties, and applicable liability limits, survive.
14. CHANGES TO THESE TERMS
We may update these Terms and will identify the effective date. We will provide reasonable advance notice of material changes to existing account holders, normally at least 30 days, unless a shorter period is necessary to comply with law or address an urgent security issue. We will obtain affirmative acceptance where required. Changes will not retroactively alter an accepted fixed commitment without agreement or a legal requirement.
